BlueFaucet Sales Referral Program Agreement

1.Introduction
This Sales Referral Program Agreement (the “Agreement”) is entered into by and between BlueFaucet Inc. (the “Company”) and the Sales Agent (the “Agent”), collectively referred to as the “Parties.” By participating in the BlueFaucet Sales Referral Program (the “Program”), the Agent agrees to comply with the terms and conditions of this Agreement.
The Agent must complete all required information on the Sales Page, including submission of a valid W-9 form and accurate banking information. Banking details are securely stored by Stripe, Inc., the Company’s third-party payment processor. BlueFaucet does not store bank account information in its own systems and is not liable for errors arising from inaccurate information provided by the Agent.
2. Eligibility and Participation
- Registration Requirement: Agents must register through the BlueFaucet platform to participate.
- Legal Compliance: Agents must have valid authorization to work in the United States to qualify for compensation.
- Tax Documentation: A completed W-9 form must be submitted before any commission withdrawals can be processed.
3. Program Overview
The specific terms of participation—including eligibility, commission rates, payout structures, and promotional guidelines—are detailed in Schedule A and Schedule B, which are incorporated into this Agreement.
4. Agent Responsibilities
- Referrals: Agents may invite small merchants to join BlueFaucet’s free trial program using only the promotional methods permitted in Schedule B.
- Independent Contractor Status: Agents act as independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or principal–agent relationship between the Parties.
5. Term and Termination
- Term: This Agreement becomes effective when the Agent clicks “I Agree” and remains valid for one (1) year, unless terminated earlier. Renewal requires mutual written consent.
- Termination by Company: The Company may terminate this Agreement at any time, with or without cause, upon written notice to the Agent.
- Termination by Agent: The Agent may terminate this Agreement at any time by providing written notice to the Company.
- Termination for Cause: The Company may terminate this Agreement immediately if the Agent breaches any material provision and fails to cure the breach within thirty (30) days of written notice.
6. Indemnification
- Agent Indemnification: The Agent shall indemnify, defend, and hold harmless the Company from any claims, liabilities, damages, losses, costs, or expenses arising from the Agent’s breach of this Agreement, violation of applicable laws, or misrepresentations.
- Company Indemnification: The Company shall indemnify, defend, and hold harmless the Agent against claims that the BlueFaucet platform infringes or misappropriates third-party intellectual property rights, provided that the Agent promptly notifies the Company and allows the Company to control the defense and settlement.
7. Confidentiality
- Obligation: The Agent shall maintain the confidentiality of all non-public Company information.
- Exceptions: Confidentiality obligations do not apply to information that is publicly available, lawfully obtained from a third party without restrictions, or already known to the Agent without breach of this Agreement.
8. Intellectual Property
- Ownership: All intellectual property rights in BlueFaucet’s products, services, and materials remain the exclusive property of the Company.
- Use of Marks: The Agent is granted a limited, non-exclusive, revocable license to use BlueFaucet’s trademarks and logos solely for promotional purposes, subject to compliance with Schedule B.
9. Limitation of Liability
- Damages: To the maximum extent permitted by law, neither Party shall be liable for indirect, incidental, special, consequential, or punitive damages under this Agreement.
- Commission Liability Cap: The Company’s liability for unpaid commissions shall not exceed the total commissions earned by the Agent in the three (3) months preceding the event giving rise to the claim.
10. Governing Law & Dispute Resolution
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Washington.
- Arbitration: Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Seattle, Washington.
11. Notices
All notices must be in writing and shall be deemed delivered when:
- Delivered personally,
- Sent via email,
- Sent through in-app communication,
- Sent by certified or registered mail (return receipt requested, postage prepaid), or
- Sent by overnight courier.

12.Waiver
No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.
13.Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
This Agreement, together with Schedule A and Schedule B, constitutes the entire agreement between the Parties and supersedes all prior agreements, communications, and understandings.
Schedule A: Sales Referral Program
1. Eligibility
- Agents must be at least 18 years old and legally authorized to work in the United States.
- Agents must maintain an active website, social media presence, or relevant professional connections to BlueFaucet’s target market.
2. Commission Structure
- Direct Referrals: $60 one-time commission for each new paid subscriber referred.
- Sub-Agent Referrals: $5 one-time commission when a salesperson referred by the Agent earns a $60 paid subscriber commission.
- Attribution: Commissions follow a last-click attribution model, awarded to the Agent whose referral link or QR code was last used before subscription.
- Tracking: Agents may track referrals and commissions via the BlueFaucet Sales Dashboard.
3. Payout Terms
- Commissions are earned only when the referred customer successfully completes their first paid subscription.
- Withdrawals may be requested once the Agent’s balance reaches at least $100.
- Commission payments will only be made to U.S.-based bank accounts.
- The Agent is solely responsible for submitting accurate banking details. The Company is not responsible for errors caused by incorrect information provided by the Agent.
- Overpayment Recovery: If a system error, technical malfunction, merchant chargeback, refund or other mistake results in the Agent receiving commission payments greater than the amount owed, the Company reserves the right to offset future commission payments or invoice the Agent for repayment. The Agent agrees to promptly cooperate with the Company to return any such overpayment.
- Commission Payout Schedule: Commissions are recorded upon successful payment settlement but are subject to a 30-day holding period before becoming eligible for withdrawal. This period allows for the validation of the subscription and protection against early disputes.
4. Promotional Guidelines
- Acceptable and prohibited promotional methods are set forth in Schedule B.
- All promotions must be truthful, accurate, and not misleading.
- Agents may not engage in spamming, deceptive marketing, or unethical promotional practices.
5. Program Termination
- The Company may terminate an Agent’s participation at any time for violations or for inactivity of more than six (6) months.
- Upon termination, unpaid commissions below $100 will be forfeited.
6. Program Updates
- The Company may modify the Program—including commissions, payout terms, or eligibility—by providing at least 30 days’ prior notice via email, in-app notification, or public announcement.
Schedule B: Acceptable & Prohibited Promotional Methods
Acceptable Methods
- Personal Outreach: In-person visits where merchants scan the Agent’s QR Code.
- Website & Blog Content: Reviews, tutorials, and articles.
- Social Media Marketing: Sharing BlueFaucet content, promotions, and referral links.
- Email Marketing: Campaigns sent only to subscribers who have opted in.
- Online Advertising: Paid ads (Google Ads, social media ads, etc.) using official referral links.
Prohibited Methods
- Spamming: Sending unsolicited emails or messages.
- Misrepresentation: Making false, misleading, or exaggerated claims.
- Coupon Sites: Posting referral links on coupon or deal sites without prior written approval.
- Incentivized Traffic: Offering monetary or other incentives outside of the Program’s standard commissions.
- Cookie Stuffing: Using unauthorized tracking methods to manipulate attributions.
- Negative Publicity: Activities that harm BlueFaucet’s brand or reputation.
- Trademark Misuse: Improper or unauthorized use of BlueFaucet trademarks or logos.
- Competitor Targeting: Running ads directly targeting competitor keywords.
